Statement of Work — 90-day Pilot Partnership

Incorporates the Partnership MOU. Pilot fees buy access and services — not ownership of the platform.

1. Scope

Private bank environment for the home-finance pilot segment (salaried Ijarah default).
Customer journey under the Bank’s brand (logo, colours, tagline).
UAE Pass + multi-source document intake (demo rails; live connections as available).
Policy Studio with full bank control of rule content.
Command Center + agent assistance (pilot scope) and one core/LOS connection path.
Training workshop for credit, Shariah desk, and digital operations.

2. Out of scope (unless change order)

Full core banking replacement or general ledger changes.
Multi-country rollout beyond the agreed emirate/segment.
Source code delivery or exclusive ownership of the platform.
A separate product built only for one bank outside the shared platform roadmap.

3. Success measures (illustrative — finalise with Bank)

Median processing time for in-policy salaried files reduced vs baseline.
Document pack completion improved; drop-off reduced.
100% of automated decisions leave an explainable audit trail.
Shariah sampling finds no silent structure violations in the pilot cohort.

4. Bank responsibilities

Appoint product owner, credit owner, Shariah liaison, and IT security contact.
Provide policy content for Policy Studio.
Approve customer communications and consent language.
Facilitate connection credentials (UAE Pass, core/LOS, bureau as applicable).

5. Ijarah OS responsibilities

Provision the private bank environment; enable brand pack; load baseline policy pack.
Deliver pilot features in scope; operate platform service levels for the pilot environment.
Weekly steering for 90 days; issue go/no-go recommendation pack.

6. Fees (placeholders)

Setup / pilot implementation: as quoted (from AED 180k reference). Ongoing: tiered flat fee per funded file (Tier 3 headline AED 1,250) — not a percentage of the loan.
Pilot license: included for 90 days or as quoted.
Optional usage fees during pilot: as agreed (may be waived).
No fee converts to ownership of platform technology.

7. Brand, data, and other banks

Platform technology remains with Ijarah OS. Bank policy content and customer data remain the Bank’s. Ijarah OS may serve other partner banks. The Bank receives no exclusivity unless a separate design-partner schedule is signed.

8. Term

90 days from environment go-live date, unless extended in writing.

9. Template notice

Discussion template for evaluation. Not binding until executed with schedules, liability caps, and governing law completed by counsel.
